Agreement Overview
These terms govern your use of IOA runtime governance services. By using our services, you agree to these terms.
Service Description
Core Service
Runtime governance for AI orchestrations with policy enforcement and evidence generation
Evidence Bundles
Signed, auditable evidence of governance decisions and policy compliance
Governance Modes
Shadow (observation), Enforce, Consensus, and Federated governance tiers
Your Responsibilities
- Maintain accurate account information and secure credentials
- Use services in compliance with applicable laws and regulations
- Configure governance policies appropriate for your use case
- Monitor your usage and stay within allocated quotas
- Report security vulnerabilities responsibly
- Respect intellectual property rights and service limitations
Our Responsibilities
- Provide documented API and service interfaces
- Maintain reasonable uptime and service availability
- Generate and sign evidence bundles as configured
- Protect your data with appropriate security measures
- Provide commercially reasonable support
- Give advance notice of material service changes
Service Levels & Limitations
Availability
We target 99.9% uptime for production services, with scheduled maintenance windows
Support
Email support with response within 2 business days for standard inquiries
Changes
We may update services with 30 days notice for breaking changes
Warranties & Disclaimers
AS-IS SERVICE: Services are provided "as is" without warranties of any kind, express or implied.
NO GUARANTEE: We don't guarantee uninterrupted, error-free, or completely secure service operation.
YOUR RESPONSIBILITY: You're responsible for configuring policies appropriate for your compliance needs.
Liability Limitations
To the maximum extent permitted by law:
- Our total liability is limited to the fees paid in the 12 months prior to the claim
- We're not liable for indirect, incidental, or consequential damages
- We're not liable for loss of data, profits, or business opportunities
- You agree to indemnify us against claims arising from your use of services
Some jurisdictions don't allow liability limitations. In those cases, our liability is limited to the maximum extent permitted by law.
Data Ownership & Rights
Your Data
You retain all rights to your input data, configurations, and policies
Evidence Bundles
You own the evidence bundles generated from your orchestrations
IOA Software
We retain all rights to the IOA platform, software, and documentation
Termination
Either party may terminate with 30 days written notice. Upon termination:
- You'll have 30 days to export your data and evidence bundles
- We'll delete your data as per our data retention policy
- Outstanding fees remain due and payable
- Sections regarding liability, warranties, and disputes survive termination
